The firm’s practice includes preparation of wills and traditional inter vivos or living trusts (which the firm has been drafting for over 35 years), as well as more advanced planning techniques such as irrevocable trusts, estate insurance planning, family limited partnerships and limited companies, private foundations, charitable remainder trusts, and retirement plan distribution planning. The firm also prepares financial powers of attorney and advance health care directives.
The firm currently represents an estimated 400 physicians, medical groups (including IPAs and MSOs), dentists, and dental practices (and a few law firms) as well as a wide array of businesses and individuals. Since the 1960's, a major emphasis on the firm's practice has been servicing the needs of its professional clients. The firm has considerable experience in the practice areas of professional organizations (being one of the first firms to form such corporations in the state), buy-sell agreements, tax planning, retirement planning, employment and independent contractors agreements, private placement offerings, HMO, IPA, and MSO contracts, and 'STARK II' physician referral issues.
The firm’s probate and trust administration practice includes representation of executors or trustees of an estate or trust. The firm assists executors and trustees to carry out the wishes of a decedent and to meet their fiduciary duties..
The firm has experience in the fields of business entity planning, tax planning, asset sales and purchases, stock sales, redemptions and purchases (including 1031 exchanges), real estate leases, equipment leases, loan documentation and secured transactions, private placement offerings, employment contracts, retirement planning, and stock options plans. In the area of entity planning, the firm has formed and dealt with a variety of business organizations from several states including corporations, S-corporations, general partnerships, limited partnerships, and limited liability companies.
The firm has generally elected not to offer litigation services to clients except in the areas of estate and gift tax and probate law.
